Board members

Jacek Lewandowski

CEO

A graduate of the Warsaw School of Economics (SGH), he majored in management.

From 1994 to 1995, he worked at Commercial Union Polska, and then as a specialist in the Monetary Affairs Department of Bank Gospodarstwa Krajowego (BGK) until 1996. From 1996 to 1998, he worked at the Polish Development Bank (PBR), and from August 1998 to April 2003, he served as Director of the Primary Market Department at BRE Bank Investment House (formerly BRE Brokers Brokerage House). In May 2003, he founded IPOPEMA Investment House, and two years later, IPOPEMA Brokerage House (currently IPOPEMA Securities), which took over the Investment House’s responsibilities in 2006. Since March 2005, Jacek Lewandowski has served as President of the Management Board of IPOPEMA Securities. From March 2007, he also served as President of the Management Board of IPOPEMA Investment Fund Company for six months, and since September 2007, he has served on its Supervisory Board. He is also a member of the Polish Business Roundtable. Jacek Lewandowski has over 20 years of professional experience in the financial market, gained through various advisory projects and capital transactions, including obtaining financing through the issuance of shares and debt instruments – both through public offerings (IPOs and SPOs) and over-the-counter transactions. He has been responsible for both securities issuances for private companies (combined with the introduction of shares to stock exchange trading) and was actively involved in the implementation of large public privatization offerings of the State Treasury. His completed projects also include advising on corporate financial restructurings, numerous convertible bond issues for Polish public companies, and a number of M&A transactions.

Mirosław Borys

Vice President of the Management Board

Since 2004, he has been associated with IPOPEMA, initially as a Director at IPOPEMA Investment House, and then as Vice President of the Management Board of IPOPEMA Brokerage House (now IPOPEMA Securities), which he co-founded. He has held this position since the company’s inception in 2005. In 2007, he also served as Vice President of the Management Board of IPOPEMA TFI, and has been a member of its Supervisory Board since December 2010. Prior to joining the IPOPEMA Group, he was associated with BRE Bank Investment House for ten years, working in the primary market team throughout that period (starting as a specialist and ultimately as Director of the Primary Market Office). Throughout his career, he was involved in the majority of capital market transactions executed by IPOPEMA in its early years, and prior to that, at BRE Bank Investment House. He has participated in dozens of private company offerings (domestic and international), as well as major privatization transactions. He has also been involved in a number of other advisory projects. He currently oversees the company’s operational department and is co-responsible for the implementation of the IPOPEMA Group’s strategic projects.

Mariusz Piskorski

Vice President of the Management Board

A graduate of the Warsaw School of Economics with a degree in Finance and Banking, he has been associated with the IPOPEMA Group since September 2003, initially as Director of Public Transactions at IPOPEMA Investment House, and since March 2005 (since the establishment of IPOPEMA Securities) as Vice President of the Management Board, responsible for overseeing projects related to the implementation of investment banking services. Previously, he was a manager at BRE Corporate Finance and Head of the Issue Preparation Department in the Primary Market Department of BRE Bank Investment House. From 1996 to 1997, he worked at BIG Finance, and from 1997 to 1998 at Polski Bank Rozwoju. Since 2007, he has been a member of the Supervisory Board of IPOPEMA TFI. He has extensive professional experience in financial advisory and capital market transactions. He has participated in numerous public offerings and participated in the preparation and execution of international and domestic public offerings. He also participated, as co-leader, in convertible and ordinary bond issuance projects. In the areas of financial advisory (including financial restructuring) and strategic advisory, he participated in mergers and acquisitions, developing financing strategies, obtaining bank/mezzanine financing, financial plans, and valuations.

Stanisław Waczkowski

Vice President of the Management Board

A graduate of the Warsaw School of Economics (Finance and Banking). Since 1995, he has been a licensed securities broker (license number: 1462) and stockbroker (exam for the Warsaw Stock Exchange). From April 1994 to April 2000, he was employed at ABN AMRO Securities (Poland), initially as a broker’s assistant and then as a stockbroker. From June 2000 to January 2003, he was a Management Board Member and Head of Sales & Trading at ABN AMRO Securities (Poland). From February 2003 to July 2006, he served as a Management Board Member and Director of the Institutional Clients Department at Dom Maklerski Banku Handlowego. Since August 2006, he has been employed at IPOPEMA Securities as Director of the Secondary Market Department and has also held the position of Vice President of the Management Board since September 2006. He is responsible for the company’s operations related to trading in financial instruments on the stock exchanges in Warsaw (since 2006), Budapest (since 2010), Prague (since 2012), and Bucharest (since 2014). Since December 2010, he has served as a member of the Supervisory Board of IPOPEMA TFI.

Supervisory Board

Chairman of the Supervisory Board

A graduate of the Faculty of Law and Administration at the University of Warsaw and the Ecole nationale d’administration in Paris, he was admitted to the list of legal advisors of the District Chamber of Legal Advisors in Warsaw in 1995. From 1989 to 1992, he worked at the Ministry of Finance, and then at the Ministry of Ownership Transformation. From 1992 to 1996, he worked at the Polish Securities and Exchange Commission, initially as Director of the Commission’s Secretariat, and from 1995 as Deputy Chairman of the Commission for Supervision. From 1997 to 2007, he was a partner at the international law firm Allen & Overy. He is a partner at the Jonak i Partnerzy law firm, specializing in financial markets, mergers and acquisitions, and pharmaceutical law. Since 1995, he has been a member of the management board of the Good Ideas Foundation, of which he is a co-founder (the foundation does not conduct business activity). Since 2006, he has served on the Council of the John Paul II Center “Nie byćkajcie się” (a church legal entity based in Krakow), and since 2008, he has been a member of the management board of the Przymierze Rodzin Association (the association does not conduct business activity). Since November 2007, he has been Chairman of the Supervisory Board of IPOPEMA Securities, and since April 2012, a member of the supervisory board of Aviva PTE, and since July 2015, also Chairman of its Audit Committee. Since August 2017, he has been a member of the supervisory board of GO TFI.

Member of the Supervisory Board

A graduate of Harvard University with a degree in History and Literature, he worked as a financial analyst at the investment bank Kidder Peabody & Co. from 1990 to 1992. From 1992 to 1995, he worked at the European Bank for Reconstruction and Development as an associate banker and principal banker, and from 1995 to 1997, he was a Management Board Member and Financial Director at BRE/Investmentbank Austria Fund Mgmt. From 1997 to 1999, he was employed as an attorney and advisor to Mass Privatization Investment Fund. Since 2000, he has been a Management Board Member at Dominium Capital Polska, in which he also holds a 10.6% stake. From 2005 to 2006, he was President of the Management Board of NFI Octava, in which he and his wife hold a 0.5% stake. Since 2006, he has served as a Supervisory Board Member. Since August 2006, he has been a Member of the Supervisory Board of IPOPEMA Securities.

Member of the Supervisory Board

A graduate of Banking and Finance at the Warsaw School of Economics, she began her professional career in 1995 at the Capital Operations Center of Bank Handlowy. From 1996 to 2006, she worked at ING Investment Management Polska (now NN Investment Partners TFI), initially as an analyst, then as a portfolio manager, fund manager, and acting Investment Director. She managed funds at Aviva Investors Polska, and from 2008 to 2017, she served as a Management Board Member and then Vice President of Nationale Nederlanden PTE, concurrently serving as Investment Director. From September 2017 to January 2019, she served as President of the Management Board of Skarbiec TFI and Vice President, then President of the Management Board of Skarbiec Holding. Since June 2019, she has served as a Member of the Supervisory Board of Kruk. He holds the CFA (Chartered Financial Analyst) and FRM (Financial Risk Manager) certificates.

Member of the Supervisory Board

A graduate of the Warsaw School of Economics with a degree in Finance and Banking, he worked at CA IB Securities as an equity analyst from June 1996 to January 2000. He then served as Head of Research at ABM AMRO Securities from February 2000 to February 2003. From February 2003 to January 2004, he worked as Director of Corporate Broking at Sovereign Capital. From 2004 to 2016, he served as Director and Head of Research at ING Securities, and from October 2016 to September 2019, he served as Investment Director at Alior TFI. In addition, in the period 2010-2018 he chaired the Supervisory Board of Balthazar Private Tailors, from February 2020 to January 2021 he sat on the Supervisory Board of Creepy Jar, and since September 2020 he has been a Member of the Supervisory Board of Geotrans

Member of the Supervisory Board

A graduate of the Faculty of Law and Administration at the University of Warsaw, where he obtained a PhD in Law and a postdoctoral degree in Law. He has been involved in the capital market from the beginning of his career. In 1994, he began working at the Polish Securities and Exchange Commission (currently the Polish Financial Supervision Authority), where he served as Deputy Director of the Legal Department from 1997 and as its Director from 2000 to 2005. From 1999 to 2004, he was a member of the Examination Committee for Investment Advisors. From 2005 to 2019, he served as President of the Management Board of the Chamber of Fund and Asset Managers. For his contribution to the development of the investment fund market, he was awarded the title of Honorary President of the Chamber. Since 2015, he has been a professor at the University of Warsaw and a legal advisor. Since 2020, he has been a partner at the Królikowski Marczuk Dyl Lawyers and Legal Advisors Partnership (KMD Legal). He has served on the supervisory boards of companies important to the functioning of the capital market (KGHM Polska Miedź, Warsaw Stock Exchange). Professor M. Dyl is also a member of the European Law Institute (ELI), a prestigious organization of leading European lawyers. He also conducts research and teaching at the Faculty of Law and Administration, University of Warsaw, which largely focuses on issues related to the functioning of the capital market. He is the author of numerous publications on the capital market and administrative proceedings.
