What is the shareholder register?

As of March 1, 2021, all shares of joint-stock companies and limited joint-stock partnerships are subject to the general dematerialization requirement. Additionally, shares of simple joint-stock companies are subject to the dematerialization requirement. This means that shares that were issued to shareholders as documents have expired and have become entries in the shareholder register or securities account (in the case of shares subject to registration in the depository maintained by the National Depository for Securities).

The shareholder register may only be maintained by a brokerage house or custodian bank authorized to maintain securities accounts.

The requirement to dematerialize and complete the process of entry in the shareholder register also applies to other instruments: subscription warrants, utility certificates, certificates of incorporation, and other titles representing participation in the company’s income or assets.

FAQ:

To grant remote access to the shareholder register at IPOPEMA, you must complete a remote access application. The application is available in the “Documents for download” section. The application must be signed using a qualified signature or a trusted signature (ePUAP). You can also complete the application at the IPOPEMA office or deliver it by mail, provided the signature on the application is notarized.

The buyer of shares should complete the “shareholder application for entry in the register of shareholders in connection with the transaction”, which is available in the “Documents for download” section, and provide attachments: a completed KYC form (available in the “Documents for download” section) and a document confirming the transaction, e.g. a sales agreement.

IPOPEMA Securities is an obligated institution within the meaning of the Act on Counteracting Money Laundering and Terrorist Financing, which, when performing activities related to maintaining the register of shareholders, is obliged to apply financial security measures towards its clients – in accordance with Art. 2, Section 2, Item 10 of the aforementioned Act, a shareholder of the company is considered a client of the obligated institution.

The entity maintaining the shareholder register makes an entry in the shareholder register at the request of the company or a person with a legal interest in making the entry, e.g. a pledgee or the shareholder’s heir.

Generally, fees for IPOPEMA’s performance of activities related to maintaining the shareholder register are borne by the Company pursuant to a separate agreement between IPOPEMA and the Company. This does not apply to any costs resulting from the shareholder’s requirement to submit to IPOPEMA any certifications, legal opinions, court decisions, or other documents that may be necessary for IPOPEMA to perform specific activities on behalf of the shareholder, which, in the absence of other agreements with IPOPEMA, are borne by the shareholder.

With regard to the register of shareholders, the provisions on shares apply accordingly to subscription warrants, utility certificates, founder’s certificates and other titles to participate in the income or distribution of the company’s assets.
